Terms of Service

1. Acceptance of Terms

By accessing or using the DataStackX website, engaging our consulting services, or entering into a service agreement with us, you agree to be bound by these Terms of Service. If you are entering into these terms on behalf of a company or organization, you represent that you have the authority to bind that entity. If you do not agree to these terms, please do not use our services.

2. Description of Services

DataStackX provides professional consulting services in the fields of:

  • Data Strategy & Architecture — designing scalable data frameworks aligned with business objectives
  • Data Engineering — building and optimizing data pipelines, ETL/ELT processes, and lakehouse architectures
  • Analytics & Business Intelligence — implementing dashboards, reports, and self-service analytics
  • Machine Learning & AI — developing, deploying, and maintaining ML models and AI systems
  • Generative AI & Agentic AI — building LLM-powered applications, RAG architectures, and autonomous AI agents
  • MLOps & DataOps — establishing CI/CD for data and ML, monitoring, and governance
  • Cloud Data Platform Modernization — migrations and implementations on Databricks, Snowflake, Azure, AWS, and GCP

Specific service scope, deliverables, timelines, and fees are defined in individual Statements of Work (SOW) or service agreements executed between DataStackX and the client.

3. Client Obligations

By engaging our services, you agree to:

  • Provide timely access to required data, systems, environments, and stakeholders
  • Ensure accuracy and completeness of information and materials provided
  • Obtain all necessary authorizations, licenses, and consents for data processing
  • Comply with applicable data protection and privacy laws regarding any data shared with us
  • Provide feedback and approvals within agreed-upon timelines to avoid project delays
  • Maintain appropriate security measures on your own systems and environments

4. Intellectual Property

4.1 Client Deliverables

Upon full payment, all custom-built deliverables — including data pipelines, models, dashboards, and documentation — created specifically for the client as part of a project engagement shall be owned by the client, unless otherwise specified in the applicable SOW.

4.2 DataStackX IP

DataStackX retains ownership of all pre-existing intellectual property, proprietary frameworks, methodologies, tools, templates, accelerators, and know-how used in service delivery. The client receives a non-exclusive, non-transferable license to use any such components incorporated into deliverables.

4.3 Open Source

Solutions may incorporate open-source software components. Such components remain subject to their respective open-source licenses. DataStackX will disclose any material open-source dependencies included in project deliverables.

5. Confidentiality

Both parties agree to maintain the confidentiality of proprietary information exchanged during the engagement. This includes, but is not limited to, business strategies, technical architectures, datasets, credentials, trade secrets, and financial terms. Confidentiality obligations survive the termination of services for a period of three (3) years, unless a separate NDA specifies otherwise.

6. Data Protection & Security

DataStackX implements robust data protection practices:

  • Encryption of data in transit and at rest
  • Role-based access controls and least-privilege principles
  • Secure handling, processing, and disposal of client data
  • Compliance with applicable data protection regulations (GDPR, CCPA, SOC 2, etc.)
  • Regular security assessments and employee training

Where applicable, DataStackX will execute Data Processing Agreements (DPAs) with clients to formalize data handling obligations.

7. Fees & Payment

  • Fees are defined in the applicable SOW or service agreement
  • Invoices are due within thirty (30) days of issuance unless otherwise agreed
  • Late payments may incur interest at 1.5% per month or the maximum rate permitted by law
  • Expenses incurred on the client's behalf (e.g., cloud infrastructure costs, third-party licenses) will be billed separately with prior approval
  • DataStackX reserves the right to suspend services for accounts more than sixty (60) days overdue

8. Warranties & Disclaimers

8.1 Service Warranty

DataStackX warrants that services will be performed in a professional and workmanlike manner, consistent with generally accepted industry standards. If any deliverable materially fails to conform to the agreed specifications, DataStackX will re-perform the affected services at no additional cost within thirty (30) days of notification.

8.2 Disclaimer

EXCEPT AS EXPRESSLY SET FORTH HEREIN, SERVICES ARE PROVIDED "AS IS." DATASTACKX DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE SPECIFIC BUSINESS OUTCOMES, ROI FIGURES, OR PERFORMANCE METRICS UNLESS EXPLICITLY COMMITTED TO IN A SIGNED SOW.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DATASTACKX'S TOTAL LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR ANY SERVICE ENGAGEMENT SHALL NOT EXCEED THE TOTAL FEES PAID BY THE CLIENT TO DATASTACKX DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM. IN NO EVENT SHALL DATASTACKX BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITY.

10. Termination

  • Either party may terminate a service engagement with thirty (30) days' written notice
  • Either party may terminate immediately for material breach if the breach is not cured within fifteen (15) days of written notice
  • Upon termination, the client shall pay for all services rendered and expenses incurred through the effective date of termination
  • DataStackX will provide reasonable assistance in transitioning deliverables and knowledge to the client or a successor provider
  • Provisions regarding confidentiality, intellectual property, limitation of liability, and indemnification survive termination

11. Indemnification

Each party agrees to indemnify and hold harmless the other party from claims, damages, and expenses arising from: (a) a material breach of these terms, (b) negligence or willful misconduct, or (c) violation of applicable laws. The client additionally indemnifies DataStackX against claims arising from data provided by the client that infringes third-party rights.

12. Force Majeure

Neither party shall be liable for delays or failures caused by events beyond reasonable control, including natural disasters, pandemics, government actions, cyberattacks, cloud provider outages, or other unforeseeable circumstances. The affected party shall promptly notify the other and make reasonable efforts to mitigate the impact.

13. Website Use

By using the DataStackX website, you agree not to:

  • Use automated tools to scrape, crawl, or extract content without prior written consent
  • Attempt to gain unauthorized access to any systems or data
  • Reproduce, distribute, or create derivative works from our content without permission
  • Upload malicious code, spam, or engage in any activity that disrupts the website

14. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes shall first be addressed through good-faith negotiation. If unresolved within thirty (30) days, disputes shall be submitted to binding arbitration under the rules of the American Arbitration Association. Each party bears its own legal costs unless the arbitrator determines otherwise.

15. Modifications

DataStackX reserves the right to modify these Terms at any time. Material changes will be posted on our website and, where applicable, communicated to active clients via email. Continued use of our services following any modification constitutes acceptance of the revised terms.
